1. Acceptance of Terms & Eligibility

By accessing, browsing, registering on, subscribing to, or using banalo.business (the "Platform", "Service", operated by Banalo Business, "we", "us", or "our"), you acknowledge that you have read, understood, and unconditionally agree to be bound by these Terms and Conditions ("Terms") and our Privacy Policy.

You represent and warrant that you are at least 18 years of age (or the age of legal majority in your jurisdiction) and possess the full legal authority to enter into these Terms on behalf of yourself or the legal entity you represent. If you do not agree with any part of these Terms, you must cease using the Platform immediately.

2. Platform Services & Multi-Category Scope

banalo.business is a software-as-a-service (SaaS) platform offering generative AI formulation assistants ("AI Co-founders"), financial landed cost calculators, verified Indian supplier directories, ingredient knowledge bases, and regulatory educational guides across multiple consumer categories, including but not limited to:

• Perfume & Fine Fragrances: Olfactive accords, ethanol dilution ratios, concentrate blending, and maceration timelines.
• Skincare & Dermatological Cosmetics: Emulsions, active serums, toners, creams, pH stabilizers, and preservative systems.
• Haircare & Scalp Formulations: Shampoos, conditioners, hair oils, serums, and surfactant systems.
• Color Cosmetics: Pigment dispersions, lipsticks, foundations, and binder formulations.
• Candles & Home Fragrances: Wax-to-fragrance flash points, wicks, melt pools, and scent throw optimization.
• Ayurvedic & Herbal Formulations: Botanical extracts, classical infusions, and AYUSH regulatory considerations.

3. Subscriptions, Billing, Automatic Renewal & Taxes

• Recurring Billing: Subscriptions are billed on a recurring monthly or annual basis starting on the date of transaction via certified PCI-DSS compliant payment gateways (such as Dodo Payments).
• Automatic Renewal: Unless you cancel your subscription prior to the expiration of your active billing cycle, your subscription will automatically renew at the then-current subscription fee using your saved payment method.
• Price Modifications: We reserve the right to revise subscription fees at our discretion upon reasonable advance notice. Price changes will take effect at the start of the next billing cycle following the notice.
• Taxes & Invoicing: Fees are exclusive of applicable Indian Goods and Services Tax (GST) or relevant local taxes, which will be calculated and added during checkout as required by law.

4. Strict Cancellation & Non-Refund Policy

• Cancellation Anytime: You may cancel your subscription at any time directly through the in-app account settings or by emailing contact@banalo.business. Your paid benefits will remain accessible until the end of your prepaid billing period.
• Digital Services Finality: Due to the immediate delivery of digital access, confidential supplier contacts, computational algorithms, and proprietary formula intelligence upon purchase, all payments, subscription charges, and renewals are 100% non-refundable under all circumstances.
• Chargebacks: Initiating an unauthorized chargeback or payment dispute without prior communication with support constitutes a material breach of these Terms and will result in immediate, permanent termination of your account and forfeiture of saved data.

5. Intellectual Property & User Formulation Ownership

Your Formulations Belong 100% to You: You retain complete, exclusive, and unencumbered ownership of all custom formulas, proprietary chemical ratios, recipes, brand concepts, and fragrance accords created by you using the Platform. Banalo Business asserts zero claim of ownership, royalties, or licensing rights over your commercial formulas.

Platform Intellectual Property: All software source code, AI system prompts, algorithm weights, UI/UX architecture, supplier databases, calculators, graphics, trademarks, logos, and proprietary data models remain the exclusive intellectual property of Banalo Business and are protected by applicable copyright, trade secret, and trademark laws. You are granted a limited, revocable, non-transferable, non-exclusive license to use the Platform for your internal business operations.

6. Absolute AI Limitation of Liability & "AS-IS" Warranty Disclaimer

THE PLATFORM, ITS AI CO-FOUNDERS, FORMULATION ENGINES, AND ALL ASSOCIATED TOOLS ARE PROVIDED STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, CHEMICAL COMPATIBILITY, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, BANALO BUSINESS, ITS FOUNDERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL HAVE ZERO LIABILITY FOR:

• Any chemical incompatibility, phase separation, crystallization, microbial contamination, rancidity, or batch spoilage.
• Any adverse skin reactions, burns, contact dermatitis, allergic episodes, eye damage, toxicity, or bodily harm caused by products formulated, bottled, or sold by you.
• Any regulatory rejection, product seizure, import/export ban, or compliance fines imposed by government bodies (including CDSCO, FDA, EU REACH, AYUSH, or IFRA).
• Any financial loss, lost profits, reputational harm, product recall expenses, or commercial failure of your business.

7. Mandatory Pre-Commercial Safety Testing & Due Diligence

As a condition of using this Platform, you explicitly covenant and agree that prior to offering any cosmetic, fragrance, or chemical product for consumer sampling, retail sale, or commercial distribution, you will:

• Conduct mandatory laboratory patch testing, dermatological challenge testing (PET), and accelerated stability testing (freeze-thaw, heat chambers).
• Obtain valid Certificates of Analysis (COA), Safety Data Sheets (SDS), and IFRA 51st Amendment certificates for all raw materials from certified suppliers.
• Engage certified Cosmetic Safety Assessors or qualified chemists to evaluate formulations for safety and legal compliance.
• Secure all required manufacturing licenses (e.g. COS-2 under the Drugs and Cosmetics Act, AYUSH, or state excise ethanol permits).

8. Comprehensive Indemnification

You agree to defend, indemnify, and hold harmless Banalo Business, its parent entities, subsidiaries, officers, directors, employees, agents, and licensors from and against any and all claims, damages, liabilities, losses, judgments, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of or reliance on the Platform; (b) any product created, manufactured, advertised, sold, or distributed by you; (c) any violation of these Terms or applicable laws; or (d) any third-party claim alleging injury, illness, allergic reaction, or intellectual property infringement arising from your formulations.

9. Third-Party Supplier Directory & Zero Agency Disclaimer

Our Supplier Directory lists independent third-party distillers, chemical distributors, bottle manufacturers, contract packagers, and testing laboratories across India (e.g., Kannauj, Mumbai, Delhi, Surat, Bengaluru). Banalo Business is not an agent, broker, distributor, escrow agent, or guarantor for any listed supplier. We do not verify individual physical batches or guarantee the purity, authenticity, pricing, or delivery schedules of any vendor. All contracts, payments, sample testing, and disputes with suppliers are strictly between you and the respective vendor.

10. Financial Projections & Unit Economics Disclaimer

All financial calculations, gross margin models, minimum order quantity (MOQ) estimates, and landed cost breakdowns provided by our tools are mathematical approximations based on industry averages. They do not constitute certified accounting, financial, or investment advice. Banalo Business does not guarantee commercial profitability, retail sell-through rates, or specific revenue targets.

11. Prohibited Activities & Account Termination

You agree not to engage in any of the following prohibited actions:

• Using the AI to generate hazardous formulations, explosives, banned narcotics, chemical weapons, or prohibited biological substances.
• Scraping, crawling, reverse engineering, decompiling, or extracting the Platform's proprietary databases, algorithms, or prompts.
• Sharing, reselling, or sub-licensing your account credentials with unauthorized third parties.
• Attempting to bypass security rules, access control gates, or rate limits.

We reserve the right to suspend or terminate accounts found violating these provisions immediately without refund or prior notice.

12. Governing Law, Mandatory Arbitration & Class Action Waiver

These Terms shall be governed by, construed, and enforced in accordance with the substantive laws of the Republic of India, without regard to its conflict of law principles.

Mandatory Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms or the Platform shall be settled by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in the English language by a sole arbitrator appointed mutually by the parties. The seat and venue of arbitration shall be in India.

Class Action Waiver: YOU AGREE THAT ANY PROCEEDINGS TO RESOLVE DISPUTES WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

13. Severability & Entire Agreement

If any provision of these Terms is found to be unlawful, void, or for any reason unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions. These Terms constitute the entire agreement between you and Banalo Business regarding the Platform.
